Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Minana Technology Solutions ("MTS," "we," "us," or "our") concerning your access to and use of the MTS Ledger bank reconciliation service.

By accessing or using our service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the service.

Service Description

MTS Ledger is a cloud-based bank reconciliation software that helps businesses match bank statements with their book ledgers, identify discrepancies, and streamline their reconciliation process.

User Accounts

Account Creation

To use our service, you must:

• Create an account by providing accurate and complete information
• Be at least 18 years old
• Be authorized to enter into a binding contract
• Maintain the security of your account credentials

Account Responsibility

You are responsible for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account or any other breach of security.

Subscription and Billing

Free Trial

We offer a 3-day free trial for new users. No credit card is required to start the trial. After the trial period, you must subscribe to a paid plan to continue using the service.

Paid Subscriptions

Our service is available through subscription plans. By subscribing, you authorize us to charge the payment method you provide on a recurring basis according to your selected billing cycle.

Cancellation

You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. No refunds will be provided for partial subscription periods.

Acceptable Use

You agree not to:

• Violate any applicable laws or regulations
• Infringe on the intellectual property rights of others
• Upload malicious code, viruses, or harmful software
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the service or servers
• Use the service for any illegal or unauthorized purpose
• Share your account credentials with unauthorized users
• Reverse engineer, decompile, or disassemble the service

Data and Privacy

Your use of the service is also governed by our Privacy Policy. You retain all ownership rights to the financial data you upload to our service. By using the service, you grant us a limited license to process your data solely for the purpose of providing the service.

We implement industry-standard security measures to protect your data. However, you acknowledge that no system is completely secure, and we cannot guarantee absolute security.

Intellectual Property

The service, including all content, features, and functionality, is owned by MTS and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our service without our express written permission.

Service Availability

We strive to maintain service availability but do not guarantee that the service will be uninterrupted, timely, secure, or error-free. We reserve the right to modify, suspend, or discontinue the service at any time with or without notice.

Limitation of Liability

To the maximum extent permitted by law, MTS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or other intangible losses resulting from:

• Your use or inability to use the service
• Unauthorized access to or alteration of your data
• Any conduct or content of third parties on the service
• Any errors, mistakes, or inaccuracies in the service

Indemnification

You agree to indemnify and hold harmless MTS and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of the service or violation of these Terms.

Termination

We may terminate or suspend your account and access to the service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the service will cease immediately.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Zimbabwe, without regard to its conflict of law provisions.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the service after such modifications constitutes acceptance of the updated Terms.

Severability
